    Renowned Astronaut Susan Kilrain

    Commander Susan Kilrain is a renowned astronaut, a distinguished navy test pilot and aerospace engineer, and a world traveler. She is the youngest person, and one of only three women, to pilot the space shuttle. She served twenty years in the navy paving the way for women. She has flown more than 3,000 flight hours in more than thirty different aircraft, and she was awarded the Defense Superior Service Medal. Commander Kilrain flew as pilot of STS-83 and STS-94, spending a total of more than twenty days in space. Her first mission was cut short due to a potentially life-threatening shuttle system failure.

    This session will bring a note cast of industry veterans to identify aspects of alternative investments and pass on their knowledge. We will examine typical varieties of offering structures and the corresponding related potential benefits and risks associated with investments in alts. Examples of topics covered will be the investment process of sales, suitability and required disclosures. Panelists will identify how certain rules and regulations apply to the various types of offerings and why due diligence is an absolute critical part of the process to identify potential risks. Alternative investments cover a wide variety of industry sectors, including but not limited to real estate, energy, equipment and commercial debt. This session will also address some of the legal, tax and regulatory issues surrounding alt offerings with some of the best minds in the industry!

    (2) The Reg BI Duty of Care: FINRA's Exam Expectations and Enforcement Cases

    This is a "not to miss" session for due diligence officers, compliance officers, and selling advisors that market alternative investments to retail clients. In this session, we'll address the two components of Regulation BI and we'll talk about FINRA's exam priorities and expectations concerning Reg BI as it relates to the sales of non-traded investments to retail clients. We will discuss past enforcement cases relating to Reg BI, as well as some facts and circumstances that weighed negatively for the broker-dealers in those cases. We will also discuss certain practices that FINRA broker-dealers can adopt in their efforts to comply with Reg BI from a rules/exam perspective.

    With the Fed Funds rate at the highest level since 2001, atypical volatility in the 10-year treasury yield and declining bank lending, securing debt and estimating one's cost of debt capital is challenging. Meanwhile, with real estate values 21% below their March 2022 peak, the buying opportunity across many real estate property types appears lucrative.     Over the past two years, changes and disruptions in the real estate capital markets space, and the macroeconomic environment in general, have flipped the script on what market participants have come to expect as the typical life cycle of a Section 1031 syndicated DST. As a result, the realities of the changed market conditions have shone a light of the need for sponsors to more thoughtfully approach the end game, including being prepared to execute on an outcome that deviates from the initial plan. This panel will discuss various restructuring options that are available when the intended "sell the property for a big gain" outcome is not on the table, including kicking out to a "springing LLC;" modifying deal terms within the bounds of Rev. Rule. 2004-86 exceptions; open market UPREIT transactions, and dispositions of unsold interests to alternative structures.

    The Corporate Transparency Act (CTA) went into effect on January 1, 2024, and requires businesses to report certain details on individuals who are associated with that business. Failure to comply with the CTA may subject your business to criminal or civil penalties. With an interactive flair, learn whether your current business, funds or other entities must report, when they must report and what information is required to be included in those reports. Thinking about starting a new fund or other entity? Learn how the CTA could impact the formation of those new entities and the provisions that should be included in the formation documents for those entities in order to comply with the CTA.
